Terms & Conditions

These Terms & Conditions ("Terms") apply to the use of the LOCALMATE AI website and to services supplied by LOCALMATE AI where these Terms are referenced in a proposal, quote, invoice, payment page, onboarding document or service agreement.
By purchasing a service, accepting a proposal, paying an invoice or deposit, or otherwise agreeing to engage LOCALMATE AI on terms that reference these Terms, you acknowledge that you have read and accepted them.
If a separate written proposal or service agreement contains terms that are different from these Terms, the specific written proposal or service agreement will apply to the extent of that difference.
1. About LOCALMATE AI
LOCALMATE AI provides digital services primarily for kitchen, bathroom and renovation businesses.
Website Creation
Conversion-focused website design and development intended to help renovation businesses professionally showcase their services, projects and business information and make it easier for potential customers to submit quote enquiries.
Marketing and Lead Generation
Digital marketing and lead-generation services, including the LOCALMATE AI Renovation Quote Engine, which may include Meta advertising, lead forms, landing pages, CRM systems, lead routing, automated follow-up, staff notifications and quote or consultation booking pathways.
The exact services supplied to each client will be stated in their proposal, quote, invoice or service agreement.
Website Creation
2. Foundation Website Service
Where a client purchases a LOCALMATE AI Foundation Website, the standard service may include:
- one conversion-focused long-form website or up to approximately five simple pages;
- template-led website design;
- mobile-responsive design;
- desktop, tablet and mobile testing;
- kitchen, bathroom or renovation service sections;
- project gallery and/or before-and-after sections;
- genuine customer reviews supplied or approved by the client;
- service area information;
- quote or contact calls-to-action;
- contact/quote enquiry form;
- click-to-call functionality where appropriate;
- basic page titles and descriptions;
- basic heading structure;
- basic image alt-text setup;
- domain connection; and
- up to two standard revision rounds, unless otherwise agreed in writing.
The precise scope stated in the client's accepted proposal takes priority.
3. What Is Not Included in the Standard Website Service
Unless specifically included in writing, the standard website service does not include:
- custom web applications;
- advanced custom software development;
- complex database systems;
- advanced e-commerce functionality;
- extensive custom coding;
- unlimited pages;
- unlimited revisions;
- ongoing SEO services;
- guaranteed Google rankings;
- ongoing advertising management;
- ongoing website content creation;
- paid stock photography;
- professional photography or videography;
- domain registration fees;
- paid third-party software;
- premium plugins or integrations;
- ongoing website maintenance; or
- functionality not stated in the agreed scope.
Any additional work requested outside the agreed scope may be quoted separately and will only proceed once approved by the client.
4. Website Content
The client is responsible for providing accurate information reasonably required to complete the website.
This may include:
- business name;
- contact details;
- service descriptions;
- service areas;
- licences and credentials;
- project information;
- logos;
- photographs;
- before-and-after photographs;
- customer reviews;
- testimonials; and
- other relevant business information.
LOCALMATE AI may assist with organising, formatting or improving the presentation of supplied information, but the client remains responsible for checking the factual accuracy of their business information before publication.
The client must notify LOCALMATE AI of any incorrect information before approving the website for launch.
5. Photographs, Reviews and Other Materials
The client must only provide materials that they are legally entitled to use.
By supplying photographs, videos, reviews, testimonials, logos, graphics or other content to LOCALMATE AI, the client confirms that they have the necessary rights, licences or permissions to use those materials for the website or marketing purpose requested.
LOCALMATE AI will not knowingly publish fabricated reviews or testimonials.
If a third party makes a claim concerning content supplied by the client, the client is responsible for assisting in resolving that claim to the extent that the issue resulted from content or instructions supplied by the client.
6. Website Revisions
Unless otherwise stated in the client's proposal, the Foundation Website includes two revision rounds.
A revision round means one consolidated set of reasonable changes submitted by the client following review of a website version.
Examples of standard revisions may include:
- wording changes;
- image replacements;
- minor layout adjustments;
- correcting business information; or
- changing existing content within the agreed scope.
A revision is not the same as requesting a substantially different website, new pages, new functionality or a significant change to the original approved direction.
Work outside the agreed scope or additional revision rounds may be quoted separately.
LOCALMATE AI will inform the client before carrying out additional chargeable work.
7. Website Timeframes
A typical Foundation Website may target completion within approximately 5–7 business days after all required content and information have been received, where this timeframe is included in the client's proposal.
This is a target rather than an unconditional guarantee.
The timeframe may be extended where there are delays caused by:
- missing content;
- delayed client feedback;
- delayed approvals;
- changes to the original scope;
- domain or hosting issues;
- third-party platform issues;
- technical issues outside LOCALMATE AI's reasonable control; or
- additional work requested by the client.
LOCALMATE AI will communicate material delays where reasonably possible.
8. Website Payments
The applicable website price will be shown in the client's proposal, invoice or payment page.
Unless otherwise agreed in writing, LOCALMATE AI may require:
- 50% deposit before work begins; and
- 50% final payment before the completed website is launched or transferred.
LOCALMATE AI is not required to begin full production until the agreed deposit has been received.
LOCALMATE AI may pause work if an agreed payment becomes overdue.
The client will be informed before additional charges are incurred for work outside the agreed scope.
9. Cancellations of Website Projects
If the client decides to cancel a website project after work has commenced, LOCALMATE AI may charge or retain an amount reasonably reflecting:
- work already completed;
- time already spent on the project;
- approved additional work; and
- non-refundable third-party costs reasonably incurred specifically for the project.
Where the amount prepaid exceeds the amount reasonably owing for completed work and applicable costs, the remaining amount will be refunded where required.
If LOCALMATE AI cancels a project and cannot provide services that have already been paid for, any amount relating to work that has not been supplied will be dealt with in accordance with applicable law.
Nothing in this section limits any rights or remedies that cannot legally be excluded.
10. Domain Names and Hosting
Unless expressly agreed otherwise:
- the client is responsible for purchasing and maintaining their domain name;
- the domain should remain registered in the client's name or account;
- domain renewal fees are the client's responsibility; and
- paid third-party hosting or platform costs are the client's responsibility where applicable.
LOCALMATE AI may assist with domain connection and website deployment as part of the agreed service.
The client is responsible for maintaining any ongoing accounts, subscriptions or renewals required after handover unless an ongoing management arrangement has been agreed separately.
11. Website Results
LOCALMATE AI designs websites with the aim of improving presentation, credibility, usability and the ability for potential customers to make enquiries.
However, a website's commercial performance depends on many factors outside LOCALMATE AI's direct control.
LOCALMATE AI does not guarantee:
- a specific number of enquiries;
- Google search rankings;
- website traffic;
- signed renovation jobs;
- sales;
- revenue; or
- a particular return on investment.
Any examples, concepts, projections or previous results shown are illustrative unless specifically stated otherwise and do not guarantee that another client will achieve the same result.
Marketing & Renovation Quote Engine
12. Marketing Services
Where a client engages LOCALMATE AI for marketing services, the exact campaign scope will be stated in their proposal or service agreement.
The Foundation Renovation Quote Engine pilot may include:
- one primary advertising campaign;
- one core renovation service or offer;
- one primary geographic service area;
- one primary lead-conversion pathway;
- initial advertising creative variations;
- Meta/Facebook/Instagram advertising;
- Meta Instant Forms or another agreed landing page/form;
- CRM setup;
- lead routing;
- immediate enquiry acknowledgement;
- internal lead notifications;
- follow-up workflows;
- quote or consultation booking pathways;
- lead tracking; and
- campaign reporting.
Additional campaigns, locations, services, creative production, software or systems may incur additional fees if agreed by the client.
13. Advertising Budget
Unless otherwise agreed in writing, advertising spend is separate from LOCALMATE AI's management fee.
The client is responsible for funding advertising directly through their own advertising account and payment method.
For example, where a Foundation Pilot includes a Meta advertising budget, the advertising budget is paid to Meta or the relevant advertising platform and is not revenue received by LOCALMATE AI.
LOCALMATE AI does not guarantee that every dollar of advertising budget will produce a lead, appointment or sale.
Advertising spend may fluctuate slightly based on platform delivery and settings.
The client remains responsible for charges made by advertising platforms through their own advertising account unless those charges were directly caused by an unauthorised action of LOCALMATE AI.
14. Marketing Management Fees
The management fee and service period will be stated before the client begins the service.
Management fees compensate LOCALMATE AI for agreed work such as:
- campaign setup;
- strategy;
- advertisement creation;
- lead form setup;
- CRM setup;
- workflow setup;
- campaign monitoring;
- optimisation;
- reporting; and
- account management.
Advertising spend, third-party software and other external expenses are separate unless expressly included in writing.
15. No Guaranteed Marketing Results
Paid advertising and lead generation involve variables that LOCALMATE AI cannot completely control.
These may include:
- market demand;
- location;
- competition;
- seasonal demand;
- advertising platform algorithms;
- advertising costs;
- client reputation;
- project pricing;
- creative performance;
- lead quality;
- client availability;
- client response times;
- sales ability;
- quote competitiveness; and
- customer decision-making.
For this reason, LOCALMATE AI does not guarantee:
- a particular number of leads;
- a particular cost per lead;
- a particular number of qualified leads;
- booked consultations;
- quote requests;
- signed renovation projects;
- revenue;
- profit; or
- return on investment.
LOCALMATE AI's role is to provide the marketing system and agreed services designed to create and manage sales opportunities.
Marketing performance will be assessed using available data and agreed campaign metrics.
16. Lead Quality
Not every person submitting an enquiry will become a suitable customer.
A lead may:
- not answer their phone;
- change their mind;
- provide incorrect contact information;
- have a project outside the service area;
- have an unsuitable budget;
- choose another renovation company;
- delay their project;
- fail to attend an appointment; or
- otherwise not proceed.
The existence of these outcomes does not by itself mean that LOCALMATE AI has failed to provide the marketing service.
LOCALMATE AI will use reasonable efforts to structure campaigns and qualification questions around the client's agreed services and target customers.
17. Client Responsibility for Following Up Leads
The client is responsible for having an appropriate person available to respond to new enquiries.
The client should make reasonable efforts to:
- contact leads promptly;
- attempt follow-up where appropriate;
- respond professionally;
- attend booked consultations;
- update lead outcomes where requested;
- notify LOCALMATE AI of lead-quality issues; and
- provide accurate sales outcome information.
LOCALMATE AI is not responsible for lost opportunities caused by the client's failure to respond to or appropriately manage enquiries, except to the extent that the loss was caused by LOCALMATE AI's own breach or negligence.
18. Marketing Assets and Approvals
The client agrees to provide reasonable access to the business information and assets necessary to operate the campaign.
This may include:
- Facebook Page access;
- Instagram account access;
- advertising account access;
- business information;
- project photographs;
- videos;
- reviews;
- logos;
- service information;
- service areas;
- pricing or budget guidance; and
- campaign approvals.
LOCALMATE AI may pause or delay a campaign if required access, assets or approvals have not been provided.
The client remains responsible for verifying that claims relating to their services, licences, prices, completed projects and business information are accurate.
19. Advertising Platforms
Marketing services may depend on third-party platforms such as Meta, Facebook, Instagram, Google, GoHighLevel, website hosts or other technology providers.
LOCALMATE AI does not own or control these platforms.
Third-party platforms may:
- change their terms;
- change algorithms;
- reject advertisements;
- restrict accounts;
- suspend accounts;
- change functionality;
- experience outages; or
- change pricing.
LOCALMATE AI will take reasonable steps to manage issues within its control but cannot guarantee uninterrupted availability or approval by third-party platforms.
Nothing in this clause excuses LOCALMATE AI from responsibility for matters caused by its own breach, negligence or failure to provide the agreed services with appropriate care.
20. Client Advertising Accounts
Where reasonably practical, the client's advertising campaigns should operate through accounts owned or controlled by the client.
The client is responsible for:
- maintaining valid account information;
- maintaining a valid advertising payment method;
- complying with applicable platform policies;
- maintaining appropriate business licences and permissions; and
- notifying LOCALMATE AI of relevant restrictions affecting their business.
LOCALMATE AI may require appropriate access to these accounts while the service is active.
21. Campaign Suspension
LOCALMATE AI may temporarily pause campaign activity where reasonably necessary because of:
- overdue payments;
- missing advertising funds;
- platform restrictions;
- legal or compliance concerns;
- inaccurate or misleading client-supplied information;
- unavailable client capacity;
- missing approvals;
- security concerns; or
- circumstances that make continued advertising unreasonable.
Where practical, LOCALMATE AI will notify the client of the reason for the suspension and what is required to resume the service.
General Terms
22. Client Responsibilities
Clients must:
- provide accurate information;
- cooperate reasonably with the delivery of the service;
- provide required materials within reasonable timeframes;
- review work and provide feedback;
- make agreed payments when due;
- maintain appropriate licences and business permissions;
- ensure supplied materials can legally be used;
- not request misleading or unlawful advertising;
- protect account passwords and access credentials; and
- comply with applicable laws relevant to their own business.
LOCALMATE AI may refuse instructions that it reasonably believes are unlawful, deceptive or likely to breach a third-party platform's rules.
23. Approval of Work
Where LOCALMATE AI sends website content, advertisements, creative material or other work to the client for approval, the client is responsible for reviewing it before approval.
Approval confirms that, to the client's knowledge:
- business information is accurate;
- prices and offers are accurate;
- services are accurately represented;
- photographs may be used;
- claims about the business are accurate; and
- the material is approved for publication.
LOCALMATE AI remains responsible for its own work and obligations and will correct errors for which it is responsible where reasonably required.
24. Intellectual Property
Client Materials
The client retains ownership of intellectual property they owned before engaging LOCALMATE AI, including their:
- business name;
- logo;
- photographs;
- videos;
- trademarks;
- existing written content; and
- other client-owned materials.
LOCALMATE AI Materials
LOCALMATE AI retains ownership of its pre-existing:
- website frameworks;
- templates;
- reusable design components;
- systems;
- processes;
- workflows;
- marketing frameworks;
- internal documents;
- know-how; and
- other intellectual property developed independently of a particular client.
Final Client Deliverables
The ownership or licence applying to final website files, custom designs, advertising assets or other deliverables will be determined by the client's proposal or service agreement.
Unless otherwise agreed, the client will be permitted to use final paid deliverables for their intended business purpose after all amounts relating to those deliverables have been paid.
Third-party materials remain subject to the licence terms of their respective owners.
25. Portfolio and Case Studies
LOCALMATE AI may ask clients for permission to display completed website work, screenshots, testimonials, campaign results or other work in its portfolio or marketing.
LOCALMATE AI will not knowingly fabricate testimonials, reviews or campaign results.
Where confidential or commercially sensitive campaign information is proposed for use in a case study, LOCALMATE AI will obtain appropriate permission before publishing that information.
26. Confidential Information
Each party agrees to take reasonable steps to protect confidential business information received from the other party.
Confidential information may include:
- passwords;
- account credentials;
- campaign data;
- pricing information;
- customer information;
- internal business information; and
- non-public commercial information.
This obligation does not apply to information that:
- is already public through no breach of these Terms;
- was lawfully known before disclosure;
- is independently developed;
- is received lawfully from another source; or
- must be disclosed by law.
27. Privacy
Personal information handled by LOCALMATE AI is subject to our Privacy Policy.
Our Privacy Policy explains how we may collect, use, store and disclose personal information in connection with:
- website enquiries;
- consultations;
- client onboarding;
- lead-generation campaigns;
- CRM systems;
- forms;
- communications; and
- other LOCALMATE AI services.
Clients using LOCALMATE AI's lead-generation services remain responsible for their own privacy and communication obligations in relation to customers and leads that they receive.
28. Third-Party Services
LOCALMATE AI may use third-party technology and service providers to deliver services.
These may include:
- hosting providers;
- domain providers;
- Meta;
- Facebook;
- Instagram;
- Google;
- GoHighLevel;
- payment processors;
- email providers;
- CRM platforms;
- analytics providers; and
- other software providers.
Use of those platforms may also be subject to the third party's own terms, policies and pricing.
LOCALMATE AI is not responsible for the independent acts or omissions of third-party providers except to the extent that liability cannot lawfully be excluded or the issue was directly caused by LOCALMATE AI's own breach or negligence.
29. Payments and Overdue Amounts
Invoices must be paid by the due date stated on the invoice unless another arrangement has been agreed in writing.
If an amount becomes overdue, LOCALMATE AI may:
- contact the client regarding payment;
- pause work that has not yet been completed; or
- pause ongoing services until the account is brought up to date.
LOCALMATE AI will not impose an undisclosed fee or charge.
Any additional fee must either be stated in the agreed terms or separately approved where required.
30. Ending an Ongoing Service
The cancellation or notice period for an ongoing marketing service will be stated in the applicable proposal or service agreement.
When a service ends:
- LOCALMATE AI will stop providing the services from the agreed termination date;
- outstanding amounts for services already provided remain payable;
- client-funded advertising may be stopped;
- access granted solely for service delivery may be removed;
- each party should return or securely deal with confidential information where appropriate; and
- reasonable handover information included within the agreed service may be provided.
Neither party loses rights that arose before the service ended.
31. Limitation of Responsibility
LOCALMATE AI is responsible for providing the services it has agreed to provide with reasonable care.
However, LOCALMATE AI is not responsible for losses caused by matters outside its reasonable control, including losses caused by:
- inaccurate client-supplied information;
- unauthorised client-supplied content;
- client failure to respond to leads;
- client sales decisions;
- client pricing;
- changes in customer demand;
- third-party platform outages;
- advertising account restrictions not caused by LOCALMATE AI;
- domain expiry caused by the client's failure to renew;
- unauthorised changes made by the client or another provider after handover; or
- the client's failure to follow reasonable instructions.
This exclusion applies only to the extent the relevant loss was not caused or contributed to by LOCALMATE AI.
Nothing in these Terms excludes, restricts or modifies any right, guarantee, remedy or liability that cannot legally be excluded, restricted or modified.
32. Australian Consumer Law
Nothing in these Terms is intended to exclude or restrict rights that a client may have under the Australian Consumer Law or any other law where those rights cannot lawfully be excluded.
Where a statutory guarantee or other mandatory right applies, these Terms operate subject to that right.
33. Disputes
If a dispute arises, both parties agree to first attempt to resolve the issue directly and in good faith.
The party raising the dispute should provide reasonable details of:
- the issue;
- the outcome they are seeking; and
- relevant supporting information.
LOCALMATE AI will attempt to respond within a reasonable period.
Where a dispute cannot be resolved directly, either party may pursue any rights or remedies available to them under applicable law.
34. Website Availability
LOCALMATE AI does not guarantee that its own website will always operate without interruption or errors.
We may update, change, suspend or maintain the website where reasonably necessary.
Information displayed on the website may be updated as services, pricing and technology change.
A client's accepted proposal or service agreement determines the service they have purchased.
35. Website Information
Information on the LOCALMATE AI website is general information about our services.
Submitting a website form does not automatically mean LOCALMATE AI has accepted a person or business as a client.
A service relationship begins when the applicable engagement process has been completed, such as acceptance of a proposal or agreement and any required payment.
LOCALMATE AI may decline a project where it is not reasonably suitable for our services.
36. Changes to These Terms
LOCALMATE AI may update these website Terms from time to time to reflect changes to services, business operations or applicable requirements.
Updated Terms will be published on this page with a revised "Last updated" date.
Changes will not retrospectively alter an existing client's agreed commercial terms unless the client agrees to the change or the change is otherwise permitted by law.
37. Governing Law
These Terms are governed by the laws of New South Wales, Australia and applicable Commonwealth laws of Australia.
The parties submit to the courts and tribunals having jurisdiction in New South Wales, subject to any rights that cannot legally be restricted.
